Terms of Service

These Terms of Service govern your access to and use of the products and services offered by Ask Ledo LLC (“Ask Ledo,” “we,” “our,” or “us”), including askledo.com and the connected products AdMachine, LeadMachine, and the Ledo intelligence layer (together, the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

Acceptance of terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms are a legally binding agreement between you and Ask Ledo. If you are using the Service for an organization, you represent that you have the authority to bind that organization to these Terms, and “you” includes that organization.

Eligibility and accounts

Eligibility

You must be at least eighteen years old and able to enter into a binding contract. The Service is intended for business and commercial use.

Your account

  • Provide accurate, complete, and current information, and keep it up to date
  • Keep your login credentials confidential, and do not share them
  • You are responsible for all activity that happens under your account
  • Tell us right away if you suspect unauthorized access or a security problem

The services we provide

Ask Ledo builds and operates AI tools that manage advertising, customer relationships, and related work. Depending on the products you use, the Service may run audits, surface recommendations, generate insights, manage records, and apply changes to accounts you authorize. A defining feature of the Service is that it works by surfacing a decision and waiting for a person to make it, rather than acting on its own.

Your accounts and authorizations

To do its work, the Service connects to accounts and platforms that you authorize, such as a Google Ads account. By connecting an account, you represent and warrant that:

  • You own the account or are authorized to grant us access to it
  • You have the rights and permissions needed for us to read its data and make the changes you approve
  • You have obtained any consents required from the people whose data you put into the Service

You remain responsible for your data and for your use of any connected platform, including following that platform's own terms and policies, such as the Google Ads policies. You can disconnect an authorized account at any time, which ends our access to it going forward.

Approvals and changes we make

The Service does not change your live accounts on its own. It recommends actions, and a person on your side approves what runs. Nothing executes without that approval.

Important. When you approve a change, the Service applies it to your live account, and some changes take effect immediately and cannot be undone. Advertising platforms such as Google Ads do not provide a way to reverse many actions once they are made. You are responsible for the changes you approve. We keep a record of changes so you can see what was done, but a record is not the same as the ability to reverse it.

We do not control, and we do not guarantee, the results of any advertising, campaign, or business outcome. Performance depends on many factors outside our control, including the platforms themselves, your market, and your budget.

Acceptable use

You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Violate any law, regulation, or the rights of others
  • Scrape, harvest, or extract data from the Service by automated means
  • Reverse engineer, decompile, or try to extract the source code
  • Bypass, disable, or interfere with security features or access controls
  • Upload malware or anything designed to harm or disrupt the Service
  • Interfere with or place undue load on the Service or its infrastructure
  • Impersonate anyone, or misrepresent your affiliation
  • Access another user's account without permission
  • Use the Service to send spam or to violate anti-spam laws such as the CAN-SPAM Act
  • Use the Service to build or assist a competing product, or resell or sublicense it without our written permission
  • Remove or obscure any proprietary notices or branding

You are responsible for complying with all data protection and marketing laws that apply to you, including obtaining the consents needed to collect and process the data you bring into the Service, and honoring opt-out requests.

AI features

Some features use AI to generate summaries, enrichment, and recommendations from your inputs and from publicly available business information. AI output is provided for your consideration and can be wrong or incomplete. You are responsible for reviewing it before you rely on it or act on it, and we do not guarantee its accuracy or completeness.

Data ownership and rights

Your data is yours

You keep all ownership of the data you upload or create in the Service. You can export it and you can request its deletion, as described in our Privacy Policy.

The license you give us

You grant us a limited license to host and process your data only as needed to provide and improve the Service and to do the work you ask of it. We may also use data in an abstracted and aggregated form that does not identify you or your clients in order to improve the Service.

What we own

We own the Service itself, including our software, the Ledo intelligence layer, our Knowledge Center, and our trademarks, logos, and other intellectual property. These Terms do not transfer any of that to you.

Feedback

If you send us feedback or suggestions, you allow us to use them freely, without any obligation to you.

Fees and payment

Some parts of the Service are offered for a fee. The fees, billing schedule, and payment terms that apply to you are the ones stated in the plan you select or the agreement you sign with us. Unless stated otherwise, fees are quoted in United States dollars, are billed in advance, and are non-refundable except where the law requires otherwise. You are responsible for any taxes. If a payment fails or is overdue, we may suspend or end your access. We may change our fees on reasonable notice, and changes apply to future billing periods rather than the current one.

Availability, support, and changes

We work to keep the Service reliable, but we do not guarantee uninterrupted or error-free operation, and we are not liable for downtime or outages. We may add, change, or remove features, and we will give notice of significant changes when it is practical to do so. Support is provided by email at support@askledo.com. Response times may vary, and we do not guarantee a specific one.

Term and termination

By you

You may stop using the Service and close your account at any time. If you are on a paid plan, cancellation takes effect at the end of your current billing period, and you are responsible for exporting any data you want to keep before you go.

By us

We may suspend or end your access if you breach these Terms, use the Service unlawfully or abusively, fail to pay, or put the security of the Service or other users at risk.

What happens to your data

Our products are built to preserve account history rather than erase it, so records may be archived rather than immediately deleted when an account closes. You may request the export or deletion of your personal information, and we will honor it subject to the retention limits in our Privacy Policy.

The sections that by their nature should outlast termination, including data ownership, disclaimers, limitation of liability, indemnification, and dispute resolution, continue to apply after your account ends.

Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, AND WE DO NOT GUARANTEE THE ACCURACY OF ANY CONTENT OR AI OUTPUT, OR ANY ADVERTISING OR BUSINESS RESULT.

We are not responsible for third-party services and platforms that you connect to the Service, such as Google. Your use of them is governed by their own terms, and we do not guarantee their availability or continued compatibility.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASK LEDO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Ask Ledo and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable legal fees, that arise from your use or misuse of the Service, your violation of these Terms or of any law or third-party right, or the data and content you bring into the Service.

Dispute resolution

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules.

Jurisdiction

Any dispute relating to these Terms or the Service will be brought in the state or federal courts located in Brevard County, Florida, and you consent to the jurisdiction of those courts.

Informal resolution first

Before filing anything, you agree to try to resolve the dispute with us directly by writing to support@askledo.com. We will try in good faith to resolve it.

YOU AND ASK LEDO AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS, AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Changes to these terms

We may update these Terms as the Service or the law changes. When we do, we will revise the date at the top, and we will give clearer notice of significant changes. Your continued use of the Service after an update means you accept the revised Terms. If you do not agree, stop using the Service.

General provisions

Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Ask Ledo about the Service.

Severability. If any part of these Terms is found unenforceable, the rest stays in effect.

Waiver. If we do not enforce a right, that is not a waiver of it.

Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

Export control. You agree to comply with applicable export control and sanctions laws, and you may not use the Service from a country subject to a United States embargo.

Notices. Notices to us must be in writing and sent to the contact details below.
